Welcome to Kulik Labs Development ("Kulik Labs Development," "we," "our," or "us"). By accessing our website, requesting services, or engaging with us for technology-related services, you agree to these Terms of Service.

Specific services, pricing, and deliverables may be governed by separate agreements, proposals, statements of work, or service contracts.

Client Responsibilities

Clients agree to:

  • Provide accurate information necessary to perform services.
  • Maintain valid licenses for software used within their environment unless otherwise agreed.
  • Cooperate with reasonable requests for access and information.
  • Maintain appropriate backups where backup services are not specifically included in an agreement.

Clients remain responsible for decisions regarding their technology environment and business operations.

Website Development Services

For website development projects:

  • Project scope will be defined through written proposals or agreements.
  • Clients are responsible for providing content, images, branding assets, and approvals in a timely manner.
  • Delays in providing requested materials may affect project timelines.
  • Unless otherwise agreed in writing, ownership of completed website content transfers to the client upon full payment.

Third-party services, plugins, themes, hosting providers, and software remain subject to their own licensing agreements.

Managed IT Services

While Kulik Labs Development strives to maintain secure and reliable systems, no technology system can be guaranteed to be free from outages, security incidents, hardware failures, software defects, or cyberattacks.

Clients acknowledge that technology-related risks remain inherent in all computing environments.

Payment Terms

Invoices are due according to the terms specified on the invoice or service agreement.

Failure to make timely payment may result in suspension of services.

Late fees may be assessed where permitted by law.

Limitation of Liability

To the fullest extent permitted by law, Kulik Labs Development shall not be liable for:

  • Lost profits
  • Loss of business
  • Loss of data
  • Business interruption
  • Indirect damages
  • Consequential damages
  • Special damages

Our total liability arising from any claim shall not exceed the amount paid to Kulik Labs Development for the services giving rise to the claim during the twelve (12) months preceding the claim.

Data Backup and Recovery

Unless expressly included in a service agreement, clients are responsible for maintaining their own backups.

Where backup services are provided, Kulik Labs Development makes reasonable efforts to maintain backup systems but does not guarantee recovery of all data under all circumstances.

Intellectual Property

All proprietary methodologies, documentation, software scripts, templates, and materials developed by Kulik Labs Development remain our property unless otherwise agreed in writing.

Clients retain ownership of their data, business records, logos, trademarks, and provided content.

SMS Communications

By providing your mobile phone number and consenting to SMS communications, you agree to receive text messages regarding:

  • Support requests
  • Service updates
  • Scheduling
  • Appointment reminders
  • Project communications
  • Business-related notifications

Termination

Either party may terminate services according to the terms of any applicable service agreement.

Upon termination, clients remain responsible for outstanding balances owed.

Governing Law

These Terms shall be governed by the laws of the State of Wisconsin without regard to conflict of law provisions.
